Terms of Service

Welcome to TeamTracker, a product of DataFlo Automation ("Company", "we", "us", or "our"). By accessing or using the TeamTracker platform at teamtracker.datafloautomation.com (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
1. Definitions
- "Service" refers to the TeamTracker web application, API, mobile application, and any related tools or services provided by DataFlo Automation.
- "User" or "you" refers to any individual or entity that accesses or uses the Service.
- "Account" refers to the registered company account created to access the Service.
- "Content" refers to any data, text, forms, templates, or other materials uploaded, submitted, or generated through the Service.
2. Eligibility & Account Registration
You must be at least 18 years old and have legal authority to enter into these Terms. By registering an Account, you represent that all information provided is accurate and complete. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your Account.
3. Use of the Service
3.1 Permitted Use
You may use the Service solely for lawful business purposes in accordance with these Terms. You agree not to:
- Use the Service for any illegal or unauthorised purpose.
- Attempt to gain unauthorised access to any part of the Service.
- Reverse-engineer, decompile, or disassemble any part of the Service.
- Interfere with or disrupt the integrity or performance of the Service.
- Upload malicious code, viruses, or any harmful content.
- Resell, sublicense, or redistribute access to the Service without written permission.
3.2 Fair Use
We reserve the right to suspend or throttle access if usage is deemed excessive or abusive, at our sole discretion.
4. Subscriptions & Payment
4.1 Plans
The Service offers free, trial, and paid subscription plans. Paid plans are billed monthly (R299/month) or annually (R2,999/year). Prices are quoted in South African Rand (ZAR) and are subject to change with 30 days' written notice.
4.2 Payment
Payments are processed through third-party payment providers (e.g. Paystack). By providing payment information, you authorise us to charge the applicable fees. All fees are non-refundable except as required by applicable law.
4.3 Trial Period
Trial accounts are provided at our discretion. At the end of a trial period, your Account may be suspended or downgraded unless you subscribe to a paid plan.
4.4 Non-Payment
If payment is not received by the due date, we may suspend or terminate your access to the Service. You remain liable for all outstanding fees.
5. Intellectual Property
5.1 Our Property
The Service, including its design, code, features, logos, and documentation, is and remains the exclusive property of DataFlo Automation. These Terms do not grant you any ownership rights in the Service.
5.2 Your Content
You retain ownership of Content you upload to the Service. By uploading Content, you grant us a limited, non-exclusive licence to store, process, and display that Content solely to provide and improve the Service.
6. Data & Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the practices described in our Privacy Policy.
7. Service Availability & Modifications
We strive to maintain availability of the Service but do not guarantee uninterrupted or error-free operation. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
8. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied.
- DataFlo Automation shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
- Our total aggregate liability for any claims arising from or related to the Service shall not exceed the fees paid by you in the twelve (12) months preceding the event giving rise to the claim.
9. Indemnification
You agree to indemnify, defend, and hold harmless DataFlo Automation, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
10. Suspension & Termination
- We may suspend or terminate your Account at any time for violation of these Terms or for any other reason at our sole discretion.
- You may cancel your Account at any time by contacting us at support@datafloautomation.com.
- Upon termination, your right to use the Service ceases immediately. We may delete your data within 90 days of termination unless retention is required by law.
11. Dispute Resolution
IMPORTANT: PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
11.1 Mandatory Mediation & Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms, the Service, or the relationship between you and DataFlo Automation shall be resolved exclusively through mediation followed, if necessary, by binding arbitration. You agree that you will not commence or participate in any court action or litigation against us, except as set out below.
11.2 Waiver of Class Action & Collective Proceedings
You agree that any dispute resolution proceedings will be conducted on an individual basis only. You waive any right to bring, join, or participate in any class action, collective action, representative action, or consolidated proceeding against DataFlo Automation. This waiver applies to the fullest extent permitted by applicable law.
11.3 Jurisdiction & Venue
All disputes, mediations, arbitrations, and any legal proceedings permitted under these Terms must be conducted in the Republic of South Africa. Any complaint, claim, or legal action must be lodged and handled on South African soil, within the borders of the Republic of South Africa. The laws of the Republic of South Africa shall govern these Terms and any disputes arising hereunder, without regard to conflict-of-law principles.
11.4 Mediation Process
Before initiating arbitration, the parties must first attempt to resolve the dispute through mediation administered by a mutually agreed mediator, or, failing agreement, a mediator appointed in accordance with the rules of the Arbitration Foundation of Southern Africa (AFSA). Mediation shall take place in South Africa.
11.5 Arbitration Process
If mediation fails to resolve the dispute within sixty (60) days, either party may submit the dispute to binding arbitration under the rules of AFSA. The arbitration shall be conducted in English, in the Republic of South Africa. The arbitrator's decision shall be final and binding. Judgment on the award may be entered in any court of competent jurisdiction in South Africa.
11.6 Exceptions
Nothing in this section prevents either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction in South Africa to prevent irreparable harm pending the outcome of arbitration.
12. General Provisions
12.1 Entire Agreement
These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and DataFlo Automation regarding the Service.
12.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
12.3 No Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
12.4 Assignment
You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
12.5 Force Majeure
DataFlo Automation shall not be liable for any failure or delay in performing its obligations due to circumstances beyond its reasonable control, including but not limited to natural disasters, power outages, internet disruptions, government actions, or pandemics.
12.6 Amendments
We reserve the right to update these Terms at any time. Material changes will be communicated via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
